Terms of Service
Effective date: October 30, 2026
1. Acceptance of these terms
These Terms of Service ("Terms") govern your use of firstinfra.dev (the "Site"), operated by First Infra LLC, a Wyoming limited liability company ("First Infra," "we," "us" or "our"). By using the Site you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Site. We may update these Terms at any time. Changes take effect when posted here.
2. Informational purposes only; no offer
The Site is for informational purposes only. Nothing on it is an offer, solicitation, recommendation or commitment of any kind, including an offer to buy, sell or lease any property or asset, or to buy or sell any security or interest in any entity or project. It isn't legal, tax, engineering, real-estate or investment advice. Any engagement with us is subject to our diligence, to applicable law, and to a written agreement signed by us.
3. Statements about our approach are not binding commitments
The Site describes how we intend to work, including the commitments we plan to make to host communities. Those statements describe our approach. The commitments that bind First Infra on any project are the ones set out in the signed agreement for that project. Unless and until an agreement says so, nothing on the Site creates a legal obligation, and nothing on it creates any obligation for a tenant, buyer, partner or other third party.
Reviewer note: this clause protects First Infra and is also an honest description of how the Net Giver commitments work. It does mean the page's "in writing" promise only has force through the agreements. Counsel should check it sits properly with the community benefits agreement language.
4. Forward-looking statements
The Site contains statements about our plans, projects and expectations, including timelines and the availability of power. They are not guarantees. Actual results depend on matters outside our control, including utility and regulatory action, permitting, construction and community agreement, and may differ materially.
5. Who the Site is for
The Site is for businesses, landowners, utilities, public bodies and community representatives. It isn't directed to anyone under 18. We may decline to work with anyone at our discretion.
6. Our property
The Site and its content, including text, design, logos and graphics, belong to First Infra or its licensors and are protected by intellectual property laws. You may view the Site and print or share a page for your own non-commercial use. You may not copy, modify, distribute or create derivative works from the Site or its content without our written permission.
7. Acceptable use
You agree not to use the Site unlawfully; to scrape, harvest or access it by automated means; to interfere with its operation or security; to attempt to gain unauthorised access to it or related systems; to submit false or misleading information, or information you aren't authorised to share; or to send us unsolicited promotions or malicious content. We may restrict access to the Site at any time.
8. Information you send us
When you complete a form or contact us, we'll use your information as described in our Privacy Policy.
- No confidentiality until we agree. Nothing you send us is treated as confidential unless and until we agree in writing, for example in a signed NDA. Please don't send confidential documents, account numbers or other sensitive information before then.
- Authority to share. If you submit information about a site or an organisation, you confirm you're authorised to share it.
- Sharing. If you submit a site, you give us permission to share your submission with select third parties, such as engineers, utilities, advisers or prospective partners, to the extent needed to evaluate it. We don't share tenant requirements outside First Infra without permission.
- No obligation, no relationship. We're not obliged to respond to a submission or to enter into any transaction. Contacting us doesn't create a client, agency, brokerage, advisory or fiduciary relationship. First Infra acts as a principal for itself and isn't your agent or broker. You should take your own legal, tax and real-estate advice.
9. Third-party links
The Site may link to third-party websites. We don't control them and aren't responsible for them or their privacy practices. A link isn't an endorsement.
10. Security
We use reasonable measures to protect the Site and the information you send us, but no system is completely secure and we can't guarantee security. You send information at your own risk.
11. Accuracy; no warranty
Information on the Site isn't warranted as to completeness or accuracy and is subject to change without notice. The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law, First Infra and its members, officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or data, arising from your use of, or inability to use, the Site or from reliance on its content. Some jurisdictions don't allow certain limitations, so some of this may not apply to you.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute arising from your use of the Site, except where the law requires otherwise.
Reviewer note: the River Guide Labs terms use California. First Infra is a Wyoming LLC, but the address is a registered-agent address and the activity is elsewhere. Counsel should choose the governing law and venue.

Open points
- Section 3 (statements aren't binding): the most important clause here for the Net Giver page. Counsel should read it alongside the community benefits agreement language.
- Section 2 mentions securities once, only as a generic "no offer" disclaimer. It doesn't describe investing. Counsel can drop that phrase if you'd rather the site never mention the word.
- Governing law (section 13): bracketed for counsel.
- Section 8 sharing: matches the landowner form's consent and the Privacy page. Change all three together.
